Terms & Conditions
These terms govern business use of the Biovern marketplace at https://biovern.eu, operated by SIA RR Enterprises (Latvia).
1. What this service is
Biovern is an online intermediation service: a place where businesses publish product offers, publish buying requests (RFQs), and are introduced to one another. We are an intermediary and nothing more.
We are explicit about what we do not do, because assuming otherwise is the main way a user gets hurt:
- We are not a party to any trade. Any contract for goods is formed directly between the buyer and the supplier, on terms they agree between themselves.
- We do not handle payment. There is no escrow, no payment processing and no payment protection of any kind. Money never passes through us, so we cannot recover it for you.
- We do not ship, store, inspect, test or sample goods. We never see them.
- We do not guarantee quality, quantity, legality, safety, origin, certification or fitness for purpose of anything listed.
- We do not verify that a listing is accurate. Moderation checks that a listing is complete and plausible, not that its claims are true — see section 5.
2. Who may use it
Registration is for businesses only. By registering you confirm you are acting for a business, in a business capacity, and are authorised to bind the company you register. This is not a consumer service, and consumer-protection rights that depend on being a consumer will not apply to your use of it.
You must provide accurate company details and keep them current. You must not:
- register on behalf of a company without authority to do so;
- misstate your company’s identity, location, role or certifications;
- list goods you cannot lawfully supply, or that are prohibited in the destination market;
- use the platform to send unsolicited marketing to other users;
- attempt to extract other users’ contact details other than through the quote flow in section 4.
3. Verification tiers — what they do and do not mean
Every company carries one of three tiers. They describe what we checked, never whether the company is trustworthy, and we do not use the word “verified” on its own because it would imply more than we did.
| Tier | What it means |
|---|---|
| Registered | An email address was confirmed and company details were self-declared. Nothing has been checked by us. |
| Documents checked | A person at Biovern looked at a business registration document or VAT certificate and formed the view that it appears genuine and matches the declared company. For EU companies a VAT number may also have been checked against the European Commission’s VIES service. This is a documentary check, not an audit, and it says nothing about product quality or solvency. |
| Audited | A third-party audit report (for example SGS, TÜV, Bureau Veritas or Intertek) was provided and reviewed. The audit is the auditor’s work and opinion, not ours; we checked that the report exists and relates to this company. |
A tier can be changed or withdrawn at any time, including if a document turns out to be false. Full detail is on the safe trading and verification page, which also explains what checks you should still carry out yourself.
4. Buying requests, quotes and the introduction
A buyer may publish a buying request. Suppliers whose published listings match it may be notified by email, and may submit a quote. A buyer may accept or decline any quote, and is never obliged to accept any.
Contact details are exchanged only when a quote is accepted, and then to both sides at once. Before that, neither party sees the other’s email address or telephone number. Accepting a quote is not a contract for goods — it is the point at which you can begin dealing with each other directly. Everything after that is between you.
A buying request is visible publicly without the buyer’s identity. Note that free-text you write into a request or a listing is published as written, so do not include anything you would not want public.
5. Content, moderation and removal
You are responsible for everything you publish and you must hold the rights to it. You grant us a non-exclusive licence to host, display and distribute it for the purpose of operating the marketplace, including showing it in search engines.
Listings are reviewed by a person before publication, or auto-published where the posting company already holds a checked tier. Review is a completeness and plausibility check: we confirm a listing has the information a buyer needs and does not appear unlawful or fraudulent. We do not verify that its claims are true.
We may refuse, remove, suspend or restrict any listing or account. Where we do, you will receive a written statement of reasons, and you can challenge it — see complaints. Every such decision is recorded with its reason, its author and its timestamp.
If you believe something on the platform is illegal or infringes your rights, contact info@biovern.eu with the URL and an explanation, and we will assess it.
6. Ranking
How listings and suppliers are ordered, and how suppliers are selected for a buying request, is described on how ranking works. Nobody can pay to rank higher or to be matched more often, and no paid placement exists on this platform.
7. Fees
Use of the marketplace is currently free. If that changes, you will be told in advance and no charge will apply to anything you did before then.
8. Availability
The service is provided as-is and as-available. We do not promise uninterrupted access, and we may change or discontinue features. We will give reasonable notice of a change that materially disadvantages you, except where a change is required by law or needed urgently for security.
9. Liability
To the extent permitted by law, we are not liable for any loss arising from a trade, including goods that are not delivered, not as described, unlawful in your market, or paid for and not received. Those are matters between you and your counterparty, and they are the reason section 1 is written so plainly.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.
10. Termination
You may stop using the service at any time. We may suspend or terminate an account for breach of these terms, for unlawful activity, or where required by law — with a statement of reasons and the right to complain, as in section 5. Records we are required to keep, such as moderation decisions, are retained after termination.
11. Governing law
These terms are governed by the law of Latvia, and the courts of Latvia have jurisdiction, without prejudice to any mandatory protection available to you under the law of your own place of establishment.
12. Changes to these terms
We will give at least 15 days’ notice of a change to these terms, and longer where the change requires you to make technical adjustments. Continuing to use the service after a change takes effect means you accept it. If you do not accept it, you may terminate.
